Contributor & Creator Agreement

This Agreement governs your relationship with [LEGAL_BUSINESS_NAME] ("we", "WoW Toolbox") when you submit content to the WoW Toolbox community library or Shop, and — if you are paid for that content — when you receive payouts via Stripe Connect.
1. Eligibility
You may register as a contributor if you:
- are at least [CONTRIBUTOR_MIN_AGE] years old (or the age of legal majority in your country);
- have the legal right to submit and licence the content you upload;
- can complete identity verification (KYC) required by Stripe for Connected Accounts;
- are not located in a country sanctioned by Sweden, the EU, the UK, or the US.
2. Stripe Connected Account
To receive payouts you must create a Stripe Connected Account through the contributor onboarding flow. By doing so you also agree to the Stripe Connected Account Agreement. We use Stripe Express / Standard accounts; the exact type is shown during onboarding.
Stripe — not us — handles your payout funds, performs identity verification, and may request additional documentation. We are not liable for delays caused by Stripe's verification or compliance review.
3. Submitting content
3.1 Your warranties
For each item you submit, you warrant that:
- you own all necessary rights, or have all necessary licences, to upload and distribute the content;
- the content does not infringe any third-party intellectual-property, privacy, or contractual right;
- the content does not include material that belongs exclusively to Blizzard Entertainment, Inc. without the right to redistribute it (e.g. extracted assets from copyrighted clients);
- the content contains no malware, exploits, hidden trackers, or illegal material;
- the description and metadata accurately reflect what is delivered.
3.2 Licence to us
You retain ownership of your content. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, distribute, display, and promote the content on the Shop and within the Service for the purpose of operating, marketing, and supporting WoW Toolbox. This licence ends a reasonable time after you remove the content, except for copies retained by buyers under their separate licence to use what they purchased.
3.3 Buyer licence
Buyers receive a personal, non-exclusive licence to use the content within WoW Toolbox under our Terms of Service. They may not redistribute, resell, or extract your content for use outside the Service.
4. Pricing and revenue share
You set the listed price for each paid item, within any minimum and maximum we publish in the contributor dashboard. Our standard revenue split is:
- Contributor share: [CONTRIBUTOR_SHARE_PCT]% of net revenue.
- Platform share: [PLATFORM_SHARE_PCT]% of net revenue.
"Net revenue" means the gross amount paid by the buyer, less Stripe processing fees, applicable taxes (VAT, GST, sales tax), refunds, and chargebacks.
5. Payouts
- Schedule: Stripe pays out on a [PAYOUT_FREQUENCY] cycle once your balance reaches the [PAYOUT_THRESHOLD_AMOUNT] minimum.
- Currency: payouts are made in your Stripe Connected Account currency.
- Holds: earnings from a sale may be held for up to [HOLD_DAYS] days to cover refund and chargeback risk.
- Refunds & chargebacks: if a buyer is refunded or wins a chargeback, the corresponding contributor share (and any associated fees) are deducted from your balance.
6. Taxes
You are solely responsible for declaring and paying all taxes on your earnings in your country of residence. Where required by law we will collect tax forms (e.g. W-8BEN, W-9) and report your earnings to the relevant tax authority. As we are based in Sweden, EU VAT may apply to platform fees we charge you; we will issue a compliant invoice on request.
7. Prohibited content
You may not submit content that:
- infringes copyright, trade marks, or other IP rights;
- contains client files, art, audio, or models extracted from a copyrighted game client without licence;
- enables cheating on third-party live servers, or violates a third party's terms of service;
- contains adult, hateful, harassing, or illegal material;
- attempts to bypass payment, telemetry, or licensing systems in the Service.
We may remove non-compliant content, withhold related earnings until investigation is complete, and suspend repeat-offender accounts.
8. Reporting infringement (DMCA & EU equivalents)
Rights-holders who believe content on the Shop infringes their rights may submit a notice to [DMCA_AGENT_EMAIL] with the information required by 17 U.S.C. § 512(c)(3) or the equivalent under EU Directive 2019/790. We will take down content that is the subject of a valid notice and notify the contributor, who may file a counter-notice.
9. Our rights
We may, at our discretion:
- review, reject, re-categorise, or remove submitted content;
- set, change, or remove pricing tiers and fee structures with notice;
- delist content that breaches this Agreement, applicable law, or Stripe's prohibited-business list;
- suspend payouts pending investigation of suspected fraud, refund spikes, or chargebacks.
10. Termination
Either party may terminate this Agreement at any time by closing the contributor account. Termination does not affect already-completed sales or your obligation to honour licences already granted to buyers. Sections 3, 4, 5, 6, 7, and 11 survive termination.
11. Liability
To the maximum extent permitted by law, we are not liable for indirect or consequential loss arising from your participation in the contributor programme. Our aggregate liability to you will not exceed the contributor earnings paid to you in the [LIABILITY_LOOKBACK_MONTHS] months preceding the event giving rise to the claim. Nothing limits any liability that cannot be limited by Swedish law.
12. Governing law
This Agreement is governed by Swedish law. Disputes will be resolved by Stockholms tingsrätt (Stockholm District Court), without prejudice to mandatory consumer rights you may have in your country of residence.
